Membership Regulations of the Public Organization "Information Communication Management of Intellectual Property"
I. General Provisions
1.1. Regulations on membership in the Public Organization "Information Communication Management of Intellectual Property" (hereinafter - Regulations) developed pursuant to Section 4 of the Public Organization "Information Communication Management of Intellectual Property" (hereinafter - PO ICMIP).
1.2. Membership in the PO ICMIP can be individual.
13. PO ICMIP Membership is voluntary.
1.4. Members of the PO ICMIP can be members of other organizations.
1.5. All members of the PO ICMIP have rights and responsibilities that are defined in the Articles of Association of the PO ICMIP.
1.6. These Regulations may establish additional rights and obligations for members of the PO ICMIP in the extent that doesn’t inconsistent with theArticles of Association of the PO ICMIP.
1.7. The amendments to these Regulations shall be made by the Board of PO ICMIP.
II. Membership in the PO ICMIP
2.1. Individual members of the PO ICMIP may be citizens of Ukraine, stateless persons or citizens of other countries who have reached the age of 14, recognize the Articles of Association of the PO ICMIP, commit to pay membership fees in the manner determined by the Board of PO ICMIP and followed the PO ICMIP entry order under these Regulations.
2.2. Individual membership fees are paid in the manner approved in Chapter IV of these Regulations.
2.3. PO ICMIP members are entitled to:
2.3.1. to elect and be elected to the PO ICMIP statutory bodies;
2.3.2. to participate in solving the issues considered at meetings of the statutory bodies, to which they were elected;
2.3.3. to submit proposals to the statutory bodies of all levels and defend their views before the adoption of the relevant decision by the majority;
2.3.4. to participate in statutory bodies meetings;
2.3.5. to receive information on the activities of the PO ICMIP;
2.3.6. to freely defend and promote ideas and suggestions on the issues discussed in the PO ICMIP before decision-making on these issues;
2.3.7. to manage intellectual property rights and comprehensive protection of such rights;
2.3.8. to receive an expert evaluation from PO ICMIP about their own intellectual property rights;
2.3.9. to make their intellectual, intangible, property, cash and other contributions to PO ICMIP activities and to work on a contract basis or under a contract with the Organization;
2.3.10. to express their opinion on the membership candidates proposed for election to the PO ICMIP statutory bodies;
2.3.11. to participate in all events organized by PO ICMIP;
2.3.12. to receive a required assistance from the PO ICMIP;
2.3.13. to freely leave the PO ICMIP by their own written statement.
2.4. Individual members of the PO ICMIP must:
2.4.1. adhere to the Articles of Association, these Regulations and decisions of governing bodies;
2.4.2. facilitate the implementation of statutory objectives and tasks of the PO ICMIP;
2.4.3. pay membership fees on time in accordance with Chapter IV of these Regulations;
2.4.4. promote the goals, objectives and disseminate information on the activities of the PO ICMIP;
2.4.5. follow the principles of preservation of confidential and private information concerning PO ICMIP members in cases stipulated by law;
2.4.6. actively participate in the activities of the PO ICMIP;
2.4.7. avoid actions that cause harm or undermine the authority of PO ICMIP;
2.4.8. comply with other obligations stipulated by the current legislation of Ukraine, the Articles of Association, the Regulations and other internal documents of PO ICMIP.
III. Acquisition and termination of membership in PO ICMIP
3.1. To become an individual membership in PO ICMIP a person shall submit a statement to the PO ICMIP Board, approved by the Chairman of the Board (Appendix №1) as well as a PO member’s questionnaire (Appendix №2).
3.2. Within two weeks after the receipt of a written notice from the PO ICMIP Board about acceptance to PO ICMIP a person needs to pay an entrance fee in accordance with Chapter 4.3-4.4 of these Regulations. Within two months after entrance fee payment a person receives a PO ICMIP Membership Certificate of established form.
3.3. After becoming a PO ICMIP member, an individual member must renew their Certificate annually and pay a membership fee (according to Chapter 4.5. of these Regulations). Failure to comply with this obligation may be the basis for denying membership in accordance with Chapter. 4.9. of these Regulations.
3.4. A statement of a person, wishing to become an individual member of the PO ICMIP, should be sent to the PO ICMIP address or submitted to the PO ICMIP Board in person or by an authorized person.
3.5. A selection process for an individual membership entry is made in the manner determined by the Board of PO ICMIP.
3.6. The Board has two weeks after the documents were submitted to decide on the acceptance or refusal of admission to the PO ICMIP.
3.7. Within two weeks from the date of the Board decision to accept the applicant to the PO ICMIP message is sent to the applicant about their admission to the PO ICMIP.
3.8. Membership in the PO ICMIP is sole. The only body which can take members to the PO ICMIP or terminate membership is the Board of PO ICMIP.
3.9. The decision of the Board to refuse an admission to the PO ICMIP is final and without appeal.
3.10. A termination of an individual membership is made by decision of the Board of PO ICMIP in cases of:
3.10.1. a voluntary withdrawal of an individual member’s application;
3.10.2. an exclusion of an individual member in the event of failure to comply with obligations under these Regulations, a violation of the PO ICMIP Articles, and in case of violations of the law of Ukraine, which governs the activities of associations;
3.10.3. a liquidation of the PO ICMIP.
3.11. a termination of PO ICMIP membership for any reason other than liquidation is not an obstacle for re-membership.
3.12. Membership in PO ICMIP is fixed.
3.13. A termination of membership occurs automatically and does not require adoption of a separate decision of the Board in the following cases:
3.13.1. a recognition of an individual PO ICMIP member an incapacitated person in accordance with law;
3.13.2. a death of an individual member of the PO ICMIP.
3.14. In the event of the termination of an individual membership in PO ICMIP the admission paid and membership fees are not refundable.
IV. The orderof payment of membership fees
4.1. Introductory (membership) contribution is irrevocable financial aid provided by individual member to implement the statutory goals and objectives of the PO ICMIP.
4.2. Membership fees are paid in the currency of Ukraine - Hryvnia.
4.3. The first membership fee (admission fee) paid by a new member of the PO ICMIP for the current year in full within two weeks after the Board of PO ICMIP decision for member admission to the Organization.
4.4. Membership fees are: for individual members – 1/10 of their minimum annual salary. When calculating the amount of membership fees, the minimum salary set by Ukrainian law at the time of payment is used and it cannot be reviewed until the end of a financial year.
4.5. After one year from the date of membership fee payment, a person has to pay their membership fee in the amount specified in Chapter 4.4 of these Regulations within two weeks.
4.6. Upon written request of a member of PO ICMIP, the Board may grant a member with a postponement in the payment or free from paying the membership fee if there is a valid reason.
4.7. Membership fees can be paid by:
4.7.1. Cashless transfer to the relevant account of PO ICMIP.
4.7.2. Cash payment at any bank office to a relevant account of PO ICMIP.
4.8. The Board is responsible for the accounting of members’ paid and unpaid contributions to PO ICMIP.
4.9. In the case of non-payment or late payment of membership fee and in case of failure of other individual member duties under the PO ICMIP’s Articles of Association and these Regulations, the Board of PO ICMIP considers the exclusion of such organization’s member in accordance with these Regulations.
